Introduction
These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the rapro.com.au website (“Website” or “Service” or “Software”) and any of its related products and services (collectively “Services”) which includes the MariaDB database system (“MariaDB”). This Agreement is legally binding between you (“User” “you” or “your”) and Racing Analytics – VIT Solutions PTY LTD (“Racing Analytics – VIT Solutions PTY LTD” “we” “us” or “our”). By accessing and using the Website and Services you acknowledge that you have read understood and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement in which case the terms “User” “you” or “your” shall refer to such entity. If you do not have such authority or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services. You acknowledge that this Agreement is a contract between you and Racing Analytics – VIT Solutions PTY LTD even though it is electronic and is not physically signed by you and it governs your use of the Website and Services.
Accounts and Subscription Memberships
You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may but have no obligation to monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you including any damages of any kind incurred as a result of such acts or omissions. We may suspend disable or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration. We will at our discretion accept or reject your subscription application. We are not obliged to give reasons for rejecting your application for membership. Such reasons for rejection of an application would be in relation to false or fraudulent information being submitted. We may at our discretion terminate your subscription at any time. We are not obliged to give reasons for such termination. However, such reasons for termination may be in relation to false or fraudulent information being submitted or inappropriate emails or phone calls to either management or support personnel. At any time during the term of your subscription we may increase or decrease prices for any of ‘Racing Analytics’ products and subscription services without notice. Your existing subscription will not automatically renew under the existing pricing structure and expire at the end of its current cycle. You will be required to subscribe to a new subscription with the updated pricing structure to continue using the service.
Subscription Pause and Re-Activation Fees
- No Subscription Pause: Subscriptions cannot be paused. If a user decides to cancel their subscription and wishes to re-join within 12 months, the following re-setup/activation fees will apply:
- Re-Activation Fee: $115 (including GST), provided the software is still installed and configured on their PC.
- New Installation Fee: $205 (including GST) if a new installation is required.
- Re-Activation After 12 Months: If re-joining after 12 months, the full current setup/license one-time fee applies, which is $295 (including GST) for Expert Form, and $495 (including GST) for the Daily Sectionals full package.
- Additional Costs: This excludes any additional costs for back-loading data for other data services such as Daily Sectionals, Statfreaks, etc., and re-configuration of any additional custom modules.
Termination and Suspension of Services
We reserve the right to terminate or suspend your access to the Website and Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to, breach of these Terms and Conditions. Upon termination, your right to use the Website and Services will immediately cease. All provisions of these Terms and Conditions that by their nature should survive termination shall survive termination, including but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Billing and Payments
You shall pay all fees or charges to your account in accordance with the fee’s charges and billing terms in effect at the time a fee or charge is due and payable. If auto-renewal is enabled for the Services, you have subscribed for you will be charged automatically in accordance with the term you selected. All Credit card transactions are processed via eWAY. eWAY has Tier-1 PCI-DSS certification which is the highest level of security possible on the internet. Visit www.eway.com.au for more information. Sensitive and private data exchange happens over a SSL secured communication channel and is encrypted and protected with digital signatures and the Website and Services are also in compliance with PCI vulnerability standards in order to create as secure of an environment as possible for Users. Scans for malware are performed on a regular basis for additional security and protection. If in our judgment your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may in our sole discretion limit or cancel quantities purchased per person per household or per order. These restrictions may include orders placed by or under the same customer account the same credit card and/or orders that use the same billing and/or shipping address. If we make a change to or cancel an order we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. Additional information outlining the cycle of monthly payments can be found on the rapro.com.au FAQ page (https://www.rapro.com.au/faq/ – What is the exact interval for a monthly subscription i.e. is it 30 days?) Your subscription will be renewed automatically unless you cancel under your ‘My Account’ section or by written notice to us via email ‘info@rapro.com.au at least (7) days before the beginning of your new membership term.
Installation and Re-Installation Fees
New Installation Due to Laptop/PC Issues: In the event a user’s laptop or PC breaks, goes missing, or is replaced and they require a full new installation of the Software, the following fees will apply:
- Full Backup Restoration Fee: $165 (including GST) for installation where a full (not partial) backup can be restored. This means we will re-install the Software from scratch but can restore the user’s data using a full backup that the user has manually created using the backup function and has available either from a cloud storage service or an external HDD.
- Full Re-Build Fee: $235 (including GST) if a full re-build is required. This means we need to re-install the Software from scratch and prepare all backdata as per the original new installation, as if the user were a new client. This includes setting up all necessary configurations and importing any historical data required.
Service Timeline: While there is no guaranteed timeframe, we will do our best to have users back up and running within 72-96 hours.
Refund Policy
Subscriptions are non-refundable except in cases where a member has upgraded to a higher plan. If you upgrade to a higher plan, we will calculate a pro-rata balance between the current paid amount and the amount owing for the upgrade, based on the time remaining in the current billing cycle. This means you will only pay for the difference in cost for the remaining period of the month.
Example of Pro-Rata Calculation:
If you are 15 days into a monthly subscription costing $198 and you upgrade to a higher plan costing $258 per month, you will pay a pro-rata amount for the remaining 15 days of the month.
The calculation would be: (15/30 days) * ($258 – $198) = $30.
No refunds are provided for cancellations or downgrades. Once a payment is made for a subscription period, it is non-refundable.

Accuracy of Information
Occasionally there may be information on the Website that contains typographical errors inaccuracies or omissions that may relate to product descriptions pricing availability promotions and offers. We reserve the right to correct any errors inaccuracies or omissions and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update amend or clarify information on the Website including without limitation pricing information except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or Services has been modified or updated. The information on our Web Site which we provide to you we do so in good faith. We do not supply advice but general information only. We reserve the right to update or change this information at any time without notice to you. In addition we do not make any representations or warranties for any errors that may occur in information provided to you or that your access to that information will be uninterrupted or timely. We do not accept responsibility or liability of any kind for any loss resulting from any action taken or not taken or your reliance on any information or material that is posted on or available from our Web Site. You agree to use the information accessible from our Web Site for lawful purposes only. We do not accept responsibility or liability of any kind for any loss resulting from the incorrect or non-operation of any feature'(s) on our Web Site.

Although the Website and Services may link to other resources (such as websites mobile applications etc.) we are not directly or indirectly implying any approval association sponsorship endorsement or affiliation with any linked resource unless specifically stated herein. Some of the links on the Website may be “affiliate links”. This means if you click on the link and purchase an item Racing Analytics – VIT Solutions PTY LTD will receive an affiliate commission. We are not responsible for examining or evaluating and we do not warrant the offerings of any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the action’s products services and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Website and Services. Your linking to any other off-site resources is at your own risk.

We prioritize the security and privacy of your data. All data exchanges between the Website and its Users occur over a secure SSL communication channel and are encrypted and protected with digital signatures. Breach of Personal Use:

- Data Redistribution: Sharing, distributing, or reselling data obtained from the Application or Website to any third party.
- Automated Access: Using bots, scrapers, or other automated tools to extract or download data from the Application or Website.
- Publishing Results: Publishing any data or results obtained from the Application or Website in any public forum, website, or media without explicit written permission from Racing Analytics – VIT Solutions PTY LTD.
- Multiple Users: Allowing multiple individuals to use a single account for accessing the Application or Website.
Any violation of these restrictions may result in immediate termination of your access to the Application or Website and may also lead to legal action and claims for damages.
Commercial vs. Personal Use
The following examples are provided to clarify the distinction between commercial and personal use of the Software:
Commercial Use:
- Using the Software to run a business such as a tipping service, racing intelligence provider, or any other service that generates revenue from providing racing-related information.
- A professional analyst using the Software as a paid consultant to another racing organization.
- Any use of the Software that involves selling, distributing, or commercializing the data or insights obtained from the Software to third parties.
- Operating a business that utilizes the Software for client projects, whether directly or indirectly generating revenue through its use.
- A trainer using the Software to provide racing intelligence, performance analysis, or other insights to their clients as part of their training services.
- A jockey or rider using the Software to provide insights or analysis to trainers, owners, or other clients as part of their professional services.
- A racing body or organization using the Software for official race analysis, performance tracking, or any other purpose related to their professional activities.
- A jockey manager using the Software to provide professional services to their clients, such as performance analysis or race strategy.
- Running a free tipping service using the Software to provide tips or insights, whether on a website, through newsletters, or on social media platforms.
- Using the Software’s intelligence to post race analysis, tips, or other related content on social media platforms like Facebook or Twitter, regardless of whether it generates direct revenue.
- Developing and distributing any form of content (e.g., blogs, articles, videos) that uses data or insights from the Software to attract followers, increase engagement, or drive traffic to a website, even if the content is provided for free.
- Providing workshops, seminars, or educational courses using the Software as part of the curriculum or instructional material, even if these are offered for free or at cost.
Personal Use:
- A professional punter/investor using the Software for their own research and analysis, provided they do not generate revenue from the data or insights obtained from the Software.
- An individual using the Software for personal interest and enjoyment without any commercial intent or revenue generation.
- Utilizing the Software for educational purposes, such as learning about racing analytics or improving personal understanding of the racing industry, without any commercial exploitation.
- A trainer using the Software solely for their own knowledge and to improve their training techniques without charging clients for the insights or directly monetizing the data.
- A jockey or rider using the Software solely for their own performance improvement and understanding of races, without providing the insights to clients or monetizing the data.
- Using the Software to manage personal betting records and strategies without sharing the information with third parties or using it in a commercial context.
- An enthusiast using the Software to track and analyse racing data for their own enjoyment and personal projects, without distributing or selling the results.
Any use of the Software that does not fall within the above examples of personal use is considered commercial use and requires an appropriate commercial license. Violation of these terms may result in immediate termination of access to the Software and may lead to legal action and claims for damages.
User Conduct
Users are expected to use the Website and Services responsibly and ethically. You agree not to use the Website and Services for any unlawful purpose, or any purpose prohibited by these terms. Prohibited activities include, but are not limited to:
- Harassing, threatening, or defrauding other users.
- Distributing viruses or harmful software.
- Engaging in activities that violate the intellectual property rights of others.
- Impersonating any person or entity.
- Interfering with the operation of the Website and Services.
Intellectual Property Rights

This Agreement does not transfer to you any intellectual property owned by Racing Analytics – VIT Solutions PTY LTD or third parties and all rights titles and interests in and to such property will remain (as between the parties) solely with Racing Analytics – VIT Solutions PTY LTD. All trademarks service marks graphics and logos used in connection with the Website and Services are trademarks or registered trademarks of Racing Analytics – VIT Solutions PTY LTD or its licensors. Other trademarks service marks graphics and logos used in connection with the Website and Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of Racing Analytics – VIT Solutions PTY LTD or third-party trademarks.
Data Extraction, Commercial Services, and Publishing Restrictions
The user of this software platform acknowledges and agrees that they shall not use the platform for the purpose of extracting data to run a commercial service or product to generate a profit or freely publish to a webpage or distribute to other users or platforms for commercial benefit. Furthermore, the user shall not publish the results and findings obtained using this software platform to a website journal article or media service without obtaining written consent from a managing director at Racing Analytics – VIT Solutions PTY LTD. The user acknowledges that they are operating under a personal user license and can only publish such results and findings if expressly approved by a managing director at Racing Analytics – VIT Solutions PTY LTD and operate under a separate commercial license. Any violation of these restrictions may result in immediate termination of the user’s access to the software platform and may also lead to legal action and claims for damages. For inquiries regarding commercial licenses permissions for publishing results or any other related matters the user must seek written consent and approval from a managing director at Racing Analytics – VIT Solutions PTY LTD before proceeding with such activities. The user understands and agrees that these restrictions are in place to protect the intellectual property rights commercial interests and confidential information associated with the software platform. By accessing and using this software platform the user acknowledges that they have read understood and agreed to abide by these data extraction commercial services and publishing restrictions as stated in this terms and conditions document.
Disclaimer of Warranty
You agree that such Service is provided on an “as is” and “as available” basis and that your use of the Website and Services is solely at your own risk. We expressly disclaim all warranties of any kind whether express or implied including but not limited to the implied warranties of merchantability fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements or that the Service will be uninterrupted timely secure or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. Severability
All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal invalid or unenforceable by a court of competent jurisdiction it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof and all such remaining provisions or portions thereof shall remain in full force and effect.
Dispute Resolution
The formation interpretation and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Victoria Australia without regard to its rules on conflicts or choice of law and to the extent applicable the laws of Australia. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Victoria Australia and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Changes and Amendments
We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time effective upon posting of an updated version of this Agreement on the Website. When we do we will revise the updated date at the bottom of this page. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.
General
We do not accept any liability for any failure to comply with these terms and conditions where such failure is due to circumstances beyond our control. If we waive one or more of these terms and conditions on any one occasion this does not mean that these said terms and conditions will be waived at any other time and all other terms and conditions will continue in force in all other respects. If any of these terms and conditions is held to be invalid unenforceable or illegal for any reason and in any jurisdiction the remaining terms and conditions shall nevertheless continue in full force in that jurisdiction and all of these terms and conditions will continue in force in all other jurisdictions. It is acknowledged and agreed that the terms and conditions referred to herein shall remain binding on the member for the duration of their subscription.
Personal Training and Custom Software Development
- Personal Training Services: Personal one-on-one training is not included in the standard service. To request information on associated costs and available training options, please email info@rapro.com.au.
- Custom Software Development: Custom software development within the RAPRO platform is available upon request. For associated costs and development options, please contact us at info@rapro.com.au.
- Development and Support Limitation: We do not provide development and support services outside the RAPRO platform via Racing Analytics Services. These terms and conditions apply exclusively to services within the RAPRO platform.
Video Links Management
Racing Analytics – VIT Solutions PTY LTD is solely responsible for the internal management of links to video replays and official results on the platform. We Endeavor to provide working links although we cannot guarantee that all links will remain operational or accessible in the future. Our customers are hereby notified that the fee charged for the video links addon is independent of the base price of the product and is exclusively for the purpose of managing the links. It is imperative to note that the video replays and website results from the official racing bodies are not part of the service charge and are freely accessible on their respective official websites.
MariaDB License
MariaDB is licensed under the GPL. The full text of the GPL is included with the Software and is also available online. When using MariaDB as part of the Software you must comply with the terms of the GPL. This includes providing a link to the source code of MariaDB which can be found on the official MariaDB website (https://mariadb.org). The Software including MariaDB is protected by copyright and other intellectual property laws. Racing Analytics – VIT Solutions PTY LTD retains all rights title and interest in and to the Software including all intellectual property rights.
Responsible Investing and Legal Compliance

To the fullest extent permitted by applicable law, Racing Analytics – VIT Solutions PTY LTD, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Website and Services; (b) any conduct or content of any third party on the Website and Services; (c) any content obtained from the Website and Services; and (d) unauthorized access, use, or alteration of your transmissions or content.
